Job Description:

We are sharing a specialised part-time consulting opportunity for transactional and corporate attorneys experienced in M&A, contracts, securities, corporate governance, due diligence, legal drafting, and structured legal reasoning evaluation.

This role supports current and upcoming remote consulting opportunities focused on transactional legal scenario design, corporate law review, contract analysis, deal documentation, legal reasoning assessment, rubric-based evaluation, and high-quality project execution. Selected professionals will apply their legal practice experience to design realistic deal scenarios, evaluate AI-generated legal responses, write attorney-level reference responses, and provide structured feedback based on established legal and commercial standards.

Key Responsibilities

Professionals in this role may contribute to:

Transactional Legal Scenario Design

  • Design realistic deal scenarios drawn from transactional and corporate legal practice
  • Create tasks involving M&A due diligence, SPAs, APAs, securities filings, NDAs, governance matters, and disclosure schedules
  • Develop legal prompts and scenario materials that reflect real-world deal workflows and attorney-level judgment
  • Ensure legal scenarios are clear, commercially realistic, and appropriate for structured evaluation

Legal Response Review & Reference Drafting

  • Write attorney-level reference responses for transactional and corporate legal tasks
  • Evaluate AI-generated responses against legal accuracy, commercial practicality, clarity, and professional standards
  • Review outputs involving contract analysis, due diligence reasoning, governance issues, securities-related materials, and deal documentation
  • Identify gaps in legal reasoning, incomplete analysis, weak drafting, unclear issue spotting, or commercially impractical conclusions

Rubric-Based Evaluation & Feedback

  • Grade legal responses against structured rubrics and project-specific evaluation criteria
  • Provide clear written feedback explaining response strengths, weaknesses, and legal reasoning issues
  • Participate in onboarding and specialty calibration sessions to align review standards
  • Maintain accuracy, consistency, and professional judgment across submitted legal evaluation work

Ideal Profile

Strong candidates may have:

  • 1–4 years of professional experience in transactional or corporate law at a law firm, in-house legal department, or comparable legal environment
  • Experience as an M&A associate, corporate associate, in-house transactional counsel, corporate generalist, or senior associate in a transactional practice
  • Strong experience with contract review, due diligence, corporate governance, NDA drafting, disclosure schedules, or securities filings
  • J.D., LL.B., or LL.M. from an accredited law school
  • U.S. law license, active or inactive
  • Excellent written communication skills and strong attention to detail
  • Ability to work independently in a remote, project-based environment

Educational Background

  • J.D., LL.B., or LL.M. from an accredited law school is expected
  • Professional experience in corporate law, transactional practice, M&A, securities, governance, contracts, or in-house legal work is highly relevant
  • Experience in deal documentation, legal drafting, legal review, or commercial legal analysis may be especially valuable

Nice to Have

  • Experience with disclosure schedules, closing checklists, diligence trackers, or transaction management materials
  • Exposure to private equity, venture capital, fund formation, securities offerings, or SEC reporting
  • Familiarity with virtual data rooms such as Intralinks, Datasite, or similar deal platforms
  • Experience reviewing legal AI outputs, legal rubrics, legal drafting exercises, or structured legal evaluation materials
  • Availability for at least 15 hours per week, with higher availability preferred depending on project scope
