Remote | Derivatives Counsel (ISDA Specialist) — $180–$200/hour
Job Description:
We are sharing a specialised part-time consulting opportunity for experienced derivatives counsel with deep expertise in ISDA Master Agreements, derivatives documentation, contract negotiation, drafting, and redlining to contribute to advanced legal AI training and evaluation initiatives.
Selected professionals will perform simulated negotiations, review and redline derivatives documentation, evaluate AI-generated legal responses, and develop objective grading frameworks that improve how AI systems identify contractual risk and interpret complex derivatives agreements.
Key Responsibilities
ISDA Drafting & Contract Review
- Review and analyse ISDA Master Agreements
- Draft and revise derivatives-related contractual provisions
- Assess contractual language for legal and commercial risk
- Apply expert judgement to complex derivatives documentation
- Maintain precision across contract-review workflows
Negotiation & Redlining
- Perform simulated negotiations involving ISDA documentation
- Redline agreements to reflect appropriate legal positions
- Evaluate alternative drafting approaches and negotiation strategies
- Identify material issues requiring escalation or revision
- Explain the rationale behind proposed contractual changes
Derivatives Documentation Analysis
- Analyse events of default and termination provisions
- Review close-out netting language and associated risks
- Evaluate collateral terms and Credit Support Annex provisions
- Apply experience with LPAs, CSAs, and other commercial agreements
- Identify inconsistencies or weaknesses across complex documentation
AI Contract Evaluation
- Review AI-generated responses to derivatives contract scenarios
- Assess legal accuracy, completeness, and practical judgement
- Identify errors in interpretation, drafting, or risk analysis
- Provide detailed expert feedback to improve model performance
- Evaluate whether outputs reflect realistic derivatives practice
Evaluation Frameworks & Legal Collaboration
- Create objective grading criteria for derivatives-documentation tasks
- Develop consistent evaluation frameworks for AI-generated legal work
- Collaborate with product and research teams on guidelines and best practices
- Help refine datasets and contract-review workflows
- Translate specialist legal expertise into actionable evaluation standards
Ideal Profile
- Minimum 3 years of professional experience in derivatives documentation
- Hands-on experience negotiating ISDA Master Agreements
- Strong experience drafting, reviewing, and redlining derivatives contracts
- Deep familiarity with ISDA provisions and market-standard documentation
- Experience with Credit Support Annexes and collateral arrangements
- Familiarity with LPAs and other commercial agreements
- Strong understanding of events of default and termination events
- Expertise in close-out netting and related contractual concepts
- Strong analytical and legal-reasoning capabilities
- Exceptional written and verbal communication skills
- Meticulous attention to contractual detail
- Ability to explain complex legal reasoning clearly
- Experience collaborating with cross-disciplinary teams
- Comfortable working in fast-paced professional environments
- Prior exposure to AI, legal technology, or AI-training initiatives is advantageous but not required
Engagement Details
- Part-time independent contractor engagement
- Fully remote
- Displayed compensation range: $180–$200/hour
- Actual compensation structure is task-based, with payment made per completed task that meets project specifications
- Average handling time is approximately 3.5 hours per task
- Effective hourly earnings will depend on the number of tasks completed and successfully approved
- Work will focus primarily on ISDA Master Agreements and related derivatives documentation
- Assignments may involve drafting, negotiation, redlining, AI-response review, and evaluation-framework development
- Collaboration may involve legal, product, and research teams
- Work must be completed without using confidential, privileged, client-specific, transaction-sensitive, or otherwise restricted information belonging to any employer, client, law firm, financial institution, or other third party
